2. Definitions
- “Client” — any individual, business, or entity that engages Sell Technical LLP for services
- “Services” — all services offered including eCommerce account management, onboarding, listing, website development, SEO/SMO, CRM, and related digital services
- “Marketplace” — any third-party eCommerce platform including Amazon, Flipkart, Myntra, Meesho, Walmart, Alibaba, Etsy, Ajio, eBay, Pepperfry, JioMart, Shopsy, and others
- “Agreement” — the service proposal or work order entered into between Sell Technical LLP and the Client
- “Confidential Information” — any business, financial, or technical information shared by either party
- “Deliverables” — any work product, content, listing, or output created by Sell Technical LLP for the Client
3. Scope of Services
Sell Technical LLP offers the following professional services:
eCommerce Account Management
End-to-end daily management of seller accounts across 12 major platforms
Marketplace Onboarding
Full account setup, document verification, category approval, and activation
Product Listing Services
SEO-optimised titles, bullets, descriptions, A+ content, images, schema
Sales Boost & Advertising
Amazon PPC, Flipkart Ads, Walmart Ads, promotions, pricing strategy
Website Development
Custom WordPress, Shopify, WooCommerce, and React.js websites
SEO & SMO Optimisation
Technical SEO, on-page, link building, and social media optimisation
CRM & DotPe
CRM system setup and DotPe digital storefront management
Other Services
Google Business Profile, product photography, website maintenance
The specific scope, timeline, and deliverables for each engagement are defined in the individual service proposal provided to the Client.
4. Client Obligations
To enable effective service delivery, the Client agrees to:
- Provide accurate, complete, and timely information requested by our team
- Grant necessary access to marketplace seller accounts, website credentials, and advertising accounts
- Ensure all products, listings, and business activities comply with applicable marketplace policies and Indian laws
- Respond to communication and approval requests within 48 hours to avoid project delays
- Provide GSTIN, PAN, trademark certificates, brand authorisation letters, and other documents as required
- Notify Sell Technical LLP promptly of any changes to business operations, products, or accounts that may affect service delivery
- Not share login credentials provided to Sell Technical LLP with any third party without prior consent
5. Payment Terms
Sell Technical LLP operates on a custom pricing model. Final pricing is agreed in writing before service commencement. Work begins only upon receipt of cleared advance payment or deposit.
5.2 Invoicing
All invoices are GST-compliant and issued in Indian Rupees (INR) unless otherwise agreed for international clients. We accept payment via bank transfer (NEFT/RTGS/IMPS), UPI, and other methods as communicated in the invoice.
5.3 Late payment
Sell Technical LLP reserves the right to suspend services if payment is overdue by more than 7 business days. We are not liable for any business impact resulting from a suspension due to non-payment.
5.4 GST
All applicable Goods and Services Tax (GST) is charged at the prevailing rate and is the responsibility of the Client. GST amounts paid are non-refundable.
6. Intellectual Property
6.1 Client’s existing IP
All pre-existing intellectual property of the Client — including brand names, trademarks, product images, and content — remains the sole property of the Client. We use such materials only to deliver contracted services.
6.2 Deliverables
Upon full payment of all fees, ownership of deliverables created specifically for the Client (product descriptions, A+ content, website content) transfers to the Client.
6.3 Sell Technical LLP’s IP
All methodologies, frameworks, proprietary tools, templates, processes, and website code not created specifically for the Client remain the exclusive intellectual property of Sell Technical LLP.
6.4 Portfolio use
Unless the Client explicitly requests otherwise in writing, Sell Technical LLP reserves the right to reference the Client’s business name and results in our portfolio and marketing materials.
7. Confidentiality
Both parties agree to maintain strict confidentiality of all confidential information shared during the engagement. Neither party shall disclose the other’s confidential information to any third party without prior written consent, except as required by law. This obligation continues for 2 years after termination of the service agreement. All team members who handle Client data are bound by confidentiality agreements.
8. Limitation of Liability
8.1 Marketplace risks
Sell Technical LLP is an independent third-party service provider and is not affiliated with any marketplace platform. We are not liable for account suspensions, listing removals, policy violations imposed by marketplace platforms, changes to marketplace algorithms or fee structures, or loss of sales resulting from marketplace decisions.
8.2 Results
We do not guarantee specific outcomes in terms of sales volume, ranking positions, traffic, or return on investment. eCommerce results depend on many factors beyond our control.
8.3 Maximum liability
In all cases, our maximum aggregate liability to the Client shall not exceed the total fees paid for the specific service giving rise to the claim in the preceding 3 months.
8.4 Indirect losses
We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, goodwill, data, or business opportunity.
9. Termination
9.1 Termination by Client
The Client may terminate a service engagement by providing 15 days’ written notice to support@selltechnical.com. Work completed up to the termination date will be invoiced and is payable in full.
9.2 Termination by Sell Technical LLP
We reserve the right to terminate services with 15 days’ written notice if the Client is in breach of these Terms, payment remains outstanding for more than 15 business days, or the Client’s activities violate applicable laws or marketplace policies.
9.3 Post-termination
Upon termination, Sell Technical LLP will return or delete all Client credentials and confidential data within 14 days. The Client remains responsible for all fees due for work completed prior to termination.
10. Indemnification
The Client agrees to indemnify and hold harmless Sell Technical LLP, its partners, employees, and agents from any claims, liabilities, damages, or expenses arising from the Client’s violation of applicable laws, marketplace terms, or third-party rights; inaccurate information provided by the Client; products causing harm to end customers; or any misuse of the services provided.

12. Amendments to These Terms
Sell Technical LLP reserves the right to update these Terms at any time. Updated Terms will be published with a revised effective date. Continued use of our services after changes are published constitutes acceptance. We will notify active clients of significant changes via email.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of New Delhi, Delhi, India.
14. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good-faith discussion. If not resolved within 30 days, disputes may be referred to mediation before either party initiates formal legal proceedings.
